In the event that (a) the Agency purchases from an Advertising Media Group Companies or Consortium or Consortia a private inventory of media space and (b) that the purchase price of this private inventory of media space is below the average Media Net paid by the Client for the corresponding year for that Advertising Media Group Companies or Consortium, then the Agency shall pay the Client under Fair Share Obligations an amount corresponding to the difference between the inventory media space selling price and the Client’s average purchase price in proportion to the Client’s spend with that Advertising Media Group Companies or Consortium.
Inventory media space: An inventory of media space that the Agency does not purchase upon the request of one or several of its clients but on its own account for its own trading purposes.
